Ecobank Transnational Incorporated has convened its 39th Ordinary General Meeting, with the proposed revocation of the mandates of directors as the sole item on the agenda.
The meeting is scheduled to hold via video conference on October 26, 2026, allowing shareholders to vote on a proposal that could result in changes to the leadership structure of the pan-African banking group.
Unlike a typical annual general meeting, which would usually address matters such as financial statements, dividends and board appointments, Ecobank’s notice is focused exclusively on the removal of directors from their mandates.
The move places the composition of the board directly before shareholders for consideration and approval.
“Notice is hereby given that the thirty-ninth Ordinary General Meeting of Ecobank Transnational Incorporated will be held by video conference on Monday, October 26, at 10:30 am GMT, to transact the following business: 1.
“Revocation of the mandates of Directors. Shareholders who intend to attend the online meeting may register at https://ecobank.com/agm from Monday, October 19, 2026,” the bank noted in a notice posted on the Nigerian Exchange on Monday.
However, the company did not identify the directors affected, state how many mandates are being targeted, or provide details on the circumstances surrounding the proposed revocation.
The omission means shareholders will consider a potentially significant governance matter without publicly disclosed reasons for the proposed action, making the meeting a key opportunity for investors to seek clarity on the bank’s leadership structure.
Shareholders have been directed to submit completed proxy forms indicating their voting decisions by close of business on October 23, either to the company’s registered office in Lomé, Togo, or via email.
Ecobank also said shareholders could submit questions ahead of the meeting through the designated email address.
The notice, dated October 2, 2026, was signed by the Company Secretary, Madibinet Cisse, on behalf of the board.
Until further details are provided by the company, the October 26 meeting is expected to draw considerable attention from shareholders, as any decision to revoke directors’ mandates could lead to changes in the leadership structure of one of Africa’s largest banking groups.
