AEDC adopts holding company structure to strengthen operations

Abuja Electricity Distribution Plc has announced its transformation into a Holding Company, a strategic move designed to boost its effectiveness in Nigeria’s evolving electricity market and the newly decentralised regulatory framework.

In a statement on Sunday, the company said the restructuring follows the Electricity Act of 2023, which grants state governments the authority to establish independent electricity markets and regulatory commissions.

AEDC noted that the realignment of its corporate structure is intended to enhance operational agility, strengthen governance, and ensure more efficient service delivery across its franchise areas.

As part of the transformation, AEDC has established two new subsidiaries — Niger Electricity Distribution Company and Kogi Electricity Distribution Company — to further streamline operations and strengthen service delivery across its network.

The subsidiaries will function under the oversight of the Niger State Electricity Regulatory Commission and the Kogi State Electricity Regulatory Commission, respectively, while remaining core members of the AEDC Group.

The company also announced key executive appointments, naming Sam Odekina as Chief Business Officer and Acting Managing Director of Niger Electricity Distribution Company, and Desmond Eboh as Chief Business Officer and Acting Managing Director of Kogi Electricity Distribution Company.
AEDC further stated that plans are in progress to launch operations in Nasarawa State, with the transition process set to begin soon.

The Managing Director and Chief Executive Officer of AEDC, Chijioke Okwuokenye, said the Holding Company structure enables the firm to meet state-specific regulatory requirements while maintaining the Group’s unified identity, shared values, and commitment to operational excellence and quality customer service.

He stated that all subsidiaries will function as a single, integrated AEDC family, with consistent Conditions of Service across the workforce to promote stability and ensure fairness for all employees.

“The HoldCo structure aligns perfectly with our goal to enhance operational efficiency and adapt to Nigeria’s evolving energy landscape while exploring new opportunities, driving growth, and contributing to Nigeria’s energy sector development,” Okwuokenye said.

“We are committed to maintaining our high standards of service, innovation, and customer focus, even as we evolve into a new structure.”

AEDC reiterated its commitment to fostering sustainable, state-regulated electricity markets while setting high standards for efficiency, reliability, and customer service across all its operations.
