CAC to delist 100,000 inactive companies over non-compliance

CAC to delete inactive companies in 90 days

The Corporate Affairs Commission has announced plans to delist 100,000 companies from its register due to prolonged inactivity and failure to comply with statutory requirements under the Companies and Allied Matters Act.

In a public notice, the Commission said the affected entities were flagged for not conducting business, remaining inactive for over a decade, or failing to meet obligations such as annual returns filing and disclosure of Persons with Significant Control.

The CAC has granted a 90-day period from the notice’s publication for the listed companies to regularise their status.

“To avoid being delisted, affected companies are required to promptly file all outstanding annual returns and, where applicable, send activation emails to [email protected].

“It shall be unlawful for any company struck off the Register of Companies to continue carrying on business unless it is restored by an order of the Federal High Court,” the notice emphasized.

This move is part of the Commission’s broader initiative to sanitise Nigeria’s corporate registry and ensure that only active, compliant entities remain listed.

It also supports ongoing efforts to improve transparency in company ownership and governance, in line with anti-money laundering standards.

Following a similar notice issued in July last year, the Commission proceeded to delist several companies in November 2024.

The CAC stated that it exercised its authority under Section 692(4) of the Companies and Allied Matters Act (CAMA) 2020 to strike off companies that failed or refused to update their annual returns within the required timeframe.

Those companies were deemed dissolved from the date the delisting notice was published.
